Board of Advisors Constitution and Bylaws
 


Constitution

Article I--Name

The name of this organization shall be called "American Heritage Center Advisors (AHC Advisors)."

Article II—Purpose

The purpose of this organization shall be to support the American Heritage Center in its development efforts, in its promotion of the mission of the Center, and its service to its researchers and donors.

Article III—Membership

Membership in the AHC Associates shall be open to any individual, organization, institution, or corporation interested in the mission and goals of the American Heritage Center, under such rules and regulations as shall be prescribed by the Board of the AHC Associates.


By-Laws

Article I—Board of AHC Associates

General Powers. The affairs of the AHC Associates shall be under the direction of the Board of the AHC Associates composed of: the Chairperson, the Vice-Chairperson, and no fewer than thirteen nor more than nineteen board members. At least one member shall also be a member of the University of Wyoming Foundation Board and serve as liaison to that group.

Voting Members. Voting members shall consist of all officers and members of the board. The UW Vice President for Academic Affairs and the AHC Director shall serve as non-voting, ex-officio members. The Chair of the AHC Board of Faculty Advisors will be an ex-officio voting member.

Term of Office. All board members shall serve for a term of four years, except for the founding members, half of whom shall serve for two years, half of whom shall serve for four years. Those board members who serve by virtue of their membership on the Foundation Board of the University of Wyoming shall hold office until the expiration of their term or until their disqualification by reason of ceasing to be a member of the Foundation Board, whichever shall occur first.

Vacancies. Any vacancy occurring in the Board shall be filled by the appointment of a successor by the AHC Board.

Elections. Officers of the AHC Board shall be elected annually from the membership of the Board.

Article II—Meetings

Annual Meetings. The AHC Associates Board shall meet three times annually—in the winter, spring, and fall at a date mutually agreed upon by a majority of the board members. An annual membership meeting shall be held in conjunction with the fall meeting.

Special Meetings. Special meetings of the AHC Associates Board may be called by the Chairperson or any three board members.

Quorum. A simple majority of the board shall constitute a quorum.

Article III—Committees

Standing Committees.

Executive Committee—Serves as liaison with the UW administration on matters pertaining to the American Heritage Center’s mission, programs, or facility. The Executive Committee is composed of the Chairperson, Vice-Chairperson, and Chairpersons of all standing committees.

Development Committee—Participates with key AHC staff and the University of Wyoming Foundation in all phases of the fund raising process including identifying, qualifying, cultivating, and soliciting potential AHC financial donors.

Special Events Committee—Recommends special events and projects that further the mission of the American Heritage Center. Upon executive committee or board approval the committee plans, coordinates and/or executes the event or project.

Membership—Participates in annual Associate membership drives and plans the Associates annual meeting.

Nominating Committees—Responsible for identifying, recruiting, and recommending individuals to serve as board members, officers, and committee members of the Board of the AHC Associates.

The Board may create additional committees from time to time as it sees fit.

Article IV—Amendments

These by-laws may be amended and additional by-laws adopted at any meeting of the AHC Board by vote of a majority of the board members.
